Terms of Service

These Terms govern your use of Exactick, a browser-based manual backtesting application, together with the website at exactick.com and its documentation (together, the “Service”). Exactick is built and operated by marusabaki, an independent solo developer based in Japan. In these Terms, “we”, “us” and “our” mean that developer, and “you” means the person using the Service.

By using the Service you accept these Terms. If you do not accept them, do not use the Service. You must be at least 18 years old, or the age of majority where you live, whichever is higher.

1. What Exactick is — and is not

Exactick is a simulation tool for education and research. It replays historical price data that you supply, and simulates orders against it. It does not connect to any broker, it cannot place real orders, and it is not a brokerage, an exchange, an investment adviser or a financial institution. Nothing in the Service is investment, financial, tax or legal advice. Please read our Disclaimer, which forms part of these Terms.

2. Your licence

We grant you a personal, worldwide, non-exclusive, non-transferable, revocable licence to use Exactick for your own trading practice and research, including commercial use of the results you produce with it. The Service is licensed, not sold; we and our licensors keep all intellectual property rights in it.

We may change which features sit in Core and which sit in Pro for future purchases. We will not move a feature out of Core for a licence you have already bought.

3. Licence keys

Purchases are unlocked with a licence key rather than an account. Your key is shown on the purchase confirmation page and sent to the email address you give at checkout; you can have it re-sent to that address at any time. A key is for one person and may be activated on the devices you personally use. Do not share, resell, publish or sublicense it.

Exactick verifies your key with us when it can, and keeps working offline for at least 30 days between checks. We may deactivate a key that was refunded, charged back, obtained fraudulently, or shared in breach of these Terms. If a key is deactivated the app returns to the Free tier — it does not delete anything you have stored.

4. Purchases, prices, and who you are buying from

Payments are processed by Stripe. Stripe is the merchant of record for your purchase: Stripe, not us, is your counterparty for the payment transaction, handles billing and any applicable sales tax or VAT, and issues your receipt. Stripe provides this through its Link service, so your purchase may be described at checkout as being sold through Link, and your card or bank statement will show LINK.COM* marusabaki. Stripe sends the receipt, and any refund notification, to you directly — so after a purchase you should expect two emails: the receipt from Stripe, and your licence key from us. Stripe’s own terms and privacy notice apply to the payment itself.

Prices are shown in US dollars and exclude any tax Stripe is required to add at checkout. Stripe may also convert the price into your local currency; the amount you are charged is the amount shown to you at checkout, and any refund is made in that same currency. We may change our prices at any time; a change never affects a one-time purchase you have already made. If we change the price of Pro, we will tell you by email before it applies to your renewal.

5. Refunds

Core is covered by a 14-day money-back guarantee, and Pro can be cancelled at any time. The full terms are in our Refund Policy, which forms part of these Terms.

6. Your data and your content

Exactick is local-first. The price data you import, the sessions you run, your trades and your statistics are written to your browser’s storage on your own machine and are never uploaded to us. They remain yours; we claim no rights over them, and we cannot see them, back them up, or recover them for you.

Because that storage lives in your browser, it can be erased by you, by your browser, or by your operating system — for example when you clear site data, or after a period of inactivity on some browsers. Keeping your own copies of anything you care about is your responsibility; CSV export is provided for exactly that purpose.

You are responsible for the price data you import and for complying with the terms of whoever supplies it. We do not supply market data, and we make no representation that any third-party data is accurate, complete, or licensed for your intended use.

The limited personal data we do hold — essentially an email address — is described in our Privacy Policy.

8. Changes to the Service

We develop Exactick continuously and may add, change or remove features. We will not use that right to strip a paid Core licence of the Core feature set it was sold with. The Service depends on your browser: we support current versions of Chrome and Edge first, Firefox as well, and Safari on a best-effort basis. Browser vendors can change or remove the storage and performance features we rely on, and that is outside our control.

9. Support

Support is self-serve and asynchronous: documentation, FAQ, and email to [email protected]. We aim to answer within two business days, but we do not commit to a service level, a guaranteed response time, or uptime. Support is provided in English.

10. No warranty

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that its simulation matches any particular broker’s execution, or that results obtained with it have any predictive value.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for any trading or investment loss, lost profit, lost data, or indirect, incidental, special, consequential or punitive damages arising out of or connected with the Service, even if we were advised such damages were possible. Our total aggregate liability arising out of or connected with the Service is limited to the greater of the amount you actually paid for it in the twelve months before the event giving rise to the claim, or US$50.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, and any mandatory statutory rights you have as a consumer in your country of residence.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your licence if you materially breach these Terms, if your purchase is refunded or charged back, or if we are required to by law. Sections 6, 7, 10, 11 and 14 survive termination.

13. Changes to these Terms

We may update these Terms. The date at the top always shows the current version. If a change materially reduces your rights we will give notice on this website and, where we have your email address, by email before it takes effect. Continuing to use the Service after a change means you accept the updated Terms; if you do not, stop using the Service — and if the change lands inside the guarantee window of a recent purchase, our Refund Policy still applies.

14. Governing law

These Terms are governed by the laws of Japan, without regard to their conflict-of-laws rules. If you are a consumer, this does not deprive you of the protection of mandatory consumer law in your country of residence.
